B2B Terms & Conditions of Sale

Last updated: 10 August 2026

These B2B Terms & Conditions of Sale (the "Terms") apply to all commercial supply of premium Kenyan macadamia nuts by SKC Black Star, part of Waynestrading (the "Seller"), to professional business customers (the "Buyer"). These Terms apply exclusively to business-to-business transactions and are governed by the laws of Sweden.

1. Business Customer Declaration

By submitting an enquiry, quote request or order, the Buyer declares that it is acting in the course of its trade, business or profession. The Buyer confirms that it is not a consumer within the meaning of the EU Consumer Rights Directive (2011/83/EU). The Seller supplies business customers only.

2. Exclusion of Consumer Rights

As all transactions are business-to-business, the statutory consumer rights — including but not limited to the 14-day right of withdrawal (cooling-off period) under Directive 2011/83/EU — do not applyto any supply made under these Terms. No right of cancellation is granted beyond what is expressly agreed in writing.

3. Formation of Contract

Information presented on the trade showcase, including any price indication, is an invitation to treat and does not constitute a binding offer. A binding supply contract is formed only upon the Seller's written order confirmation following acceptance of a Buyer enquiry, and is subject to availability and commercial confirmation of specifications, volume, packaging and delivery terms.

4. Pricing, Orders & Minimum Volumes

  • All prices are quoted in EUR or USD unless otherwise agreed, exclusive of VAT, duties and freight, and are subject to confirmation at the time of order.
  • The Seller reserves the right to adjust prices due to material changes in raw material, currency or logistics costs between quotation and order confirmation.
  • Minimum order quantities apply and are confirmed on a per-enquiry basis. The Seller may decline orders below the applicable minimum volume.

5. Payment Terms

Unless otherwise agreed in writing, payment is due in advance or under agreed trade terms (for example, letter of credit or confirmed proforma). Standard payment terms, where granted, are net 30 days from invoice. Late payment may attract interest under the Swedish Interest Act (1975:635) and a reasonable reminder fee.

6. Delivery & Incoterms

Delivery is made under Incoterms® (latest edition) as agreed in the order confirmation (commonly FOB Mombasa or CIF destination port). Any delivery dates are estimates only. The Seller shall not be liable for delays caused by force majeure or events beyond its reasonable control, including customs, weather or logistics disruption.

7. Quality, Specification & Inspection

Product is supplied in accordance with the agreed specification (grade, moisture, size, packaging). The Buyer shall inspect goods upon arrival and notify the Seller in writing of any visible defect within 7 days.

8. Retention of Title

Title in the goods remains with the Seller until the full purchase price, together with any ancillary costs, has been received in cleared funds. Risk passes to the Buyer in accordance with the agreed Incoterms.

9. Warranties & Liability

The Seller warrants that goods conform to the agreed specification. To the extent permitted by law, the Seller's aggregate liability is limited to the invoice value of the goods giving rise to the claim. The Seller is not liable for indirect or consequential losses, including loss of profit.

10. Compliance & Export

The Buyer is responsible for compliance with all applicable import, customs, food safety and labelling requirements in the destination country. The Seller provides reasonable export documentation as agreed.

11. Governing Law & Dispute Resolution

These Terms and any supply contract are governed by the laws of Sweden. Any dispute shall be submitted to the exclusive jurisdiction of the Swedish courts, unless the parties agree in writing to arbitration. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply to the extent not excluded by these Terms.
